The level and the success rate of any business largely depend on the way the owner of the business handles the sales of the company. it is very important for a a person to understand the importance of legal aspects in selling in order to control the sales contract which he may encounter almost daily.

When an owner of a good is transferred to the person who has paid the money to purchase that good, we regard that process as sales. The sales of goods related law has been described in Article 2 of the Uniform Commercial Code i.e. UCC. In this law, the buyer is called the purchaser while the seller of the good has been given the title of vendor. According to UCC, a sales contract must contain several elements of legality. The contract related to the sale depends on the kind of seller who has been involved. An offer should be made in a sales contract and the sale must include a consideration.

According to UCC, there are two types of sellers.

  1. Merchant
  2. Casual seller

A merchant is a person who deals with the sales of particular goods regularly and claims that he has knowledge about those goods. He has some standards while selling the goods because of having knowledge and they are subjected to licensing and are expected to follow all the regulations set by the authorities. While the casual seller is one, who sells goods occasionally and does not claim to have any special kind of knowledge. The two sellers in UCC are considered to be totally different from each other.

The considerations are also of two types. The first consideration is price. The price of the good is one that is accepted by both the seller and the buyer. The other consideration is barter in which, gods are exchanged for goods. This also requires the agreement of both parties. These considerations get the title of consideration after being accepted by both parties.

There are some exceptions on the offers of sales contracts. The offers can be revoked in conventional contracts. The sales contract also makes the offers revoked as they are not very firm offers. A firm offer is one which has not been signed by the merchant and it represents that the sales offers cannot be revoked as in the case of conventional contracts. There is no need to have any consideration and the offers remain active for the time duration which has been specified. The purchases can decide whether he should accept the offer or not. He is given a specific amount of time.

Another sales contract exception is acceptance. It also has a very important role in the sales contract.  A counteroffer for an offer that is not accepted as it becomes a rejection of the original in conventional contracts. But in sales contracts, this type of counteroffer can be enjoined with the original as long as a stipulation forbidding the enjoining was indicated in the original offer.
